This Agreement (the “Agreement”) is made and entered into as of the moment of registration by and between the registered user, and Christi Studio LLC, an Oregon LLC and any registering member of this website (DreamHomes.Media).

In consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Confidential Information. For purposes of this Agreement, “Confidential Information” means any and all information, data, or other materials, whether tangible or intangible, disclosed by the Disclosing Party to the Recipient in writing, orally, or by any other means, including, but not limited to, trade secrets, know-how, research and development, financial information, marketing plans, and lists.
2. Confidentiality. The Recipient agrees to keep all Confidential Information confidential and to use it only for the purposes set forth in this Agreement. The Recipient shall not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party.
3. Exceptions. The Recipient may disclose Confidential Information to the following persons or entities:
   • Employees, officers, directors, and other agents of the Recipient who need to know the Confidential Information in order to perform their duties under this Agreement;
   • Consultants or other third-party service providers who have been engaged by the Recipient to provide services related to the Confidential Information and who have agreed to be bound by the terms of this Agreement; and
   • Governmental entities to the extent required by law.
4. Return of Confidential Information. Upon the termination of this Agreement, for any reason, the Recipient shall promptly return to the Disclosing Party all Confidential Information in its possession, including any copies thereof.
5. Non-Solicitation. The Recipient agrees not to solicit or hire any employee of the Disclosing Party for a period of one (1) year after the termination of this Agreement.
6. Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
7. Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
8. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon.

Binding Effect. This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. DreamHomes.Media staff and affiliates reserve the right to deny accounts and press release submissions at its sole discretion.
